Introduction and Agreement

Welcome to ShareMyDocs. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and ShareMyDocs ("ShareMyDocs," "we," "us," or "our") governing your access to and use of the ShareMyDocs application, website, subdomains, software, APIs, integrations, and related services (collectively, the "Service"). These Terms are intended to set forth your rights and obligations, as well as ours, to ensure a clear understanding of the rules that govern your use of the Service.

By accessing, registering for, uploading content to, sharing documents through, downloading content from, or otherwise using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. It is important to review these Terms carefully; if you do not agree to these Terms, you must immediately discontinue all use of the Service to avoid any legal or functional issues.

If you are using the Service on behalf of an organization, business, employer, government entity, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" include that entity. This ensures accountability and clarifies that all obligations and rights extend beyond an individual user to the represented organization.

Definitions

• User Content means any document, file, image, PDF, spreadsheet, text, metadata, or other content uploaded, stored, or shared through the Service. This includes all digital materials for which you retain ownership but utilize our platform to manage and distribute.
• Sharing Link means any URL, code, or access mechanism generated by the Service that permits third-party access to User Content. Sharing Links are tools to facilitate controlled distribution but also come with risks outlined later in these Terms.
• Recipient means any person or entity that accesses User Content via a Sharing Link or authorized account. Recipients are external parties who may have varying levels of access and control depending on sharing settings.
• Subscription means any paid plan or tier that grants access to enhanced features or limits. Subscriptions may include additional storage, security options, or administrative controls.
• SMS Messages means Short Message Service text messages sent by ShareMyDocs to users or recipients for notifications, alerts, verification codes, document sharing links, or other service-related communications.

Eligibility and Age Requirements

You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction, whichever is higher, to create an account or use the Service. By using the Service, you represent and warrant that you meet this requirement to ensure compliance with applicable laws, protect sensitive data, and conform to regulatory restrictions.

The Service is not intended for use by minors. ShareMyDocs does not knowingly collect personal information from individuals under the age of eighteen (18), in adherence to applicable privacy laws such as COPPA and GDPR.

Account Creation and Accuracy

When creating an account, you agree to provide accurate, complete, and current information and to keep such information updated. Providing false or misleading details may result in suspension or termination of your account and interferes with our ability to provide effective service and support.

You may not create accounts using false identities, impersonate others, or use automated means to create multiple accounts. All users are expected to act transparently and in good faith.

You are solely responsible for all activity that occurs under your account, including actions taken by others who gain access to your account credentials, whether authorized or unauthorized. Therefore, maintaining account security is paramount.

Account Security Obligations

• You are responsible for safeguarding your passwords, authentication tokens, and access credentials, using strong passwords and secure storage methods.
• You agree to promptly notify ShareMyDocs of any suspected unauthorized access, breach, or misuse of your account to allow us to take timely corrective actions.
• ShareMyDocs is not responsible for losses resulting from compromised credentials, phishing attacks, social engineering, or insecure recipient behavior. Users are urged to practice vigilance.

Description and Intended Use of the Service

ShareMyDocs provides a comprehensive document management and sharing platform designed to allow users to securely upload, store, organize, and share documents with third parties through controlled access mechanisms. Features include setting expiration dates for shared links, revoking access at any time, assigning granular access controls, supporting organizational accounts with role-based permissions, and offering audit logs for compliance and transparency.

The Service functions as a facilitation tool only. ShareMyDocs does not actively monitor, review, validate, verify, approve, or endorse User Content uploaded or shared through the platform, and does not guarantee confidentiality beyond the controls explicitly provided. Users bear responsibility for their own content management and compliance.

SMS Text Messaging: Consent, Opt-In, and Opt-Out

Explicit Consent Requirement

ShareMyDocs.app may offer SMS text messaging services for purposes including but not limited to account verification, two-factor authentication, document sharing notifications, access alerts, security notifications, and service updates. SMS text messaging requires explicit, prior consent before any substantive messages or links are sent.ShareMyDocs.app is committed to obtaining proper consent from all parties who receive SMS messages through our platform.

Recipient Opt-In Process for Document Sharing via SMS

When a ShareMyDocs.app user sends documents to a recipient via SMS, the recipient will first receive an opt-in request message. This opt-in message will inform the recipient that someone wishes to share documents with them through ShareMyDocs.app. The recipient must affirmatively respond by replying "YES" to this opt-in request before receiving any document links or additional information.

The recipient opt-in process works as follows:

• Step 1 - Opt-In Request: When a ShareMyDocs.app user initiates document sharing via SMS, the recipient receives an initial opt-in request message asking if they consent to receive the document link via text message.
• Step 2 - Recipient Response: The recipient must reply "YES" to the opt-in request to confirm their consent to receive the document link and any related notifications via SMS.
• Step 3 - Document Link Delivery: Only after the recipient has replied "YES" will ShareMyDocs.app send the actual document sharing link and any additional information to the recipient.
• No Response or Decline: If the recipient does not respond to the opt-in request or responds with anything other than "YES," no document link or additional SMS messages will be sent to that phone number for that sharing request.

This opt-in process ensures that recipients have expressly consented to receive SMS messages from ShareMyDocs.app before any substantive content or links are delivered. ShareMyDocs.app will not send document links, download URLs, or detailed information to any recipient who has not first confirmed their consent by replying "YES" to the opt-in request.

"Send to My Phone" Feature - User Opt-In

By using ShareMyDocs.app and providing a phone number in your Account Settings page, you expressly opt in to receive SMS text messages to that phone number for the purposes of the "Send to My Phone" feature and related account notifications. The "Send to My Phone" feature allows you to send document links and access codes directly to your own mobile phone for convenient access to your documents.

By adding your phone number to your Account Settings and using the "Send to My Phone" feature, you:

• Confirm that you are the owner or authorized user of the mobile phone number provided in your Account Settings.
• Expressly consent to receive SMS text messages from ShareMyDocs.app at that phone number, including document links, access codes, download URLs, and related notifications.
• Understand that message and data rates may apply according to your mobile carrier's pricing plan.
• Acknowledge that you may opt out of "Send to My Phone" SMS messages at any time by removing your phone number from your Account Settings or by replying "STOP" to any message received.

How Registered Users Opt-In

Registered ShareMyDocs.app users may opt in to receive SMS messages by any of the following methods:

• Checking the SMS opt-in checkbox during account registration or in your account settings and providing your mobile phone number.
• Adding your phone number to your Account Settings page, which constitutes consent for "Send to My Phone" and account-related SMS notifications.
• Responding "YES" or "START" to an opt-in confirmation message sent by ShareMyDocs.app after you have initiated the opt-in process.
• Enabling SMS notifications for specific features (such as document access alerts or two-factor authentication) within your account notification preferences.

By opting in, you confirm that you are the owner or authorized user of the mobile phone number provided, that you consent to receive SMS messages from ShareMyDocs.app at that number, and that you understand that message and data rates may apply depending on your mobile carrier plan.

Types of SMS Messages

If you opt in, you may receive SMS messages related to the following:

• Transactional Messages: Verification codes, password reset codes, two-factor authentication codes, and account security alerts.
• "Send to My Phone" Messages: Document links, download URLs, and access codes that you have requested to be sent to your own phone number through the "Send to My Phone" feature.
• Notification Messages: Alerts when documents are shared with you, when recipients access your shared documents, when sharing links expire, or when access is revoked.
• Service Messages: Important updates about your account, subscription status, service changes, or system maintenance that may affect your use of ShareMyDocs.app.

ShareMyDocs.app does not send marketing or promotional SMS messages unless you have separately and explicitly opted in to receive such communications.

Message Frequency and Costs

Message frequency varies based on your account activity and notification preferences. You may receive multiple messages per day depending on your usage of the Service. Message and data rates may apply according to your mobile carrier's pricing plan. ShareMyDocs.app is not responsible for any charges incurred from your mobile carrier for receiving SMS messages.

How to Opt-Out

You may opt out of receiving SMS messages from ShareMyDocs.app at any time using any of the following methods:

• Reply STOP: Reply "STOP," "UNSUBSCRIBE," "CANCEL," "END," or "QUIT" to any SMS message received from ShareMyDocs.app. You will receive a one-time confirmation message acknowledging your opt-out request, and no further SMS messages will be sent unless you opt in again.
• Account Settings: Log in to your ShareMyDocs.app account, navigate to Settings > Notifications > SMS Preferences, and disable SMS notifications or remove your phone number.
• Contact Support: Email support@sharemydocs.app with the subject line "SMS Opt-Out Request" and include the phone number you wish to unsubscribe. We will process your request within two (2) business days.

After opting out, you will no longer receive SMS messages from ShareMyDocs.app except for any final confirmation of your opt-out request. Please note that opting out of SMS messages does not affect other communications such as email notifications, which are managed separately in your account settings.

How Recipients Can Opt-Out

Recipients who have opted in to receive document sharing links via SMS may opt out at any time by:

• Replying "STOP" to any SMS message received from ShareMyDocs.app.
• Not responding "YES" to future opt-in requests (each new sharing request requires a fresh opt-in).
• Contacting support@sharemydocs.app to request removal from SMS communications.

How to Get Help

If you have questions about SMS messaging, need assistance with opting in or out, or are experiencing issues with SMS delivery, you may:

• Reply "HELP" to any SMS message from ShareMyDocs.app to receive assistance instructions.
• Email support@sharemydocs.app with "SMS Help" in the subject line.

User Responsibility for Recipient Phone Numbers

If you use ShareMyDocs.app to share documents with third-party recipients via SMS, you represent and warrant that:

• You have a legitimate business or personal reason to share documents with the recipient.
• You have accurately entered the recipient's phone number.
• You understand that the recipient will receive an opt-in request and must reply "YES" before receiving the document link.
• You will not use the Service to send opt-in requests to phone numbers for the purpose of harassment, spam, or any unlawful purpose.

ShareMyDocs.app is not responsible for any claims, damages, or legal liability arising from your provision of incorrect phone numbers or misuse of the SMS document sharing feature.

Compliance with Laws

ShareMyDocs.app SMS messaging practices are designed to comply with applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and guidelines set forth by the Cellular Telecommunications Industry Association (CTIA). Our recipient opt-in process ensures that all recipients have provided express consent before receiving document links or other substantive SMS content. We are committed to respecting communication preferences and privacy for both our registered users and document recipients.

Changes to SMS Terms

ShareMyDocs.app reserves the right to modify these SMS messaging terms at any time. If we make material changes to our SMS practices, we will notify you via email or through the Service before the changes take effect. Your continued use of SMS features after such notification constitutes acceptance of the updated terms.

User Content Ownership and Responsibility

You retain all right, title, and interest in and to your User Content. ShareMyDocs does not claim ownership of your materials, ensuring your intellectual property rights remain intact.

You are solely responsible for the legality, accuracy, sensitivity, and appropriateness of all User Content you upload, store, or share, including compliance with applicable laws, regulations, and third-party rights.

By using the Service, you grant ShareMyDocs a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display User Content solely as necessary to provide, improve, and maintain the Service. This license ends when you delete the User Content or your account unless retention is required for legal reasons.

Document Sharing, Links, and Recipient Risk

You acknowledge that sharing documents inherently carries risks, including unauthorized redistribution, interception, or exposure of sensitive information. ShareMyDocs provides tools to manage access, such as expiration dates and revocation capabilities, but cannot control recipient behavior, downstream sharing, screenshots, downloads, or other forms of content capture.

As the content owner, you are solely responsible for determining whether a recipient should have access to any document and for revoking access when appropriate to mitigate risks.

Acceptable Use and Prohibited Conduct

• Uploading, transmitting, or distributing unlawful, infringing, abusive, defamatory, obscene, hateful, or otherwise prohibited content through the Service is strictly forbidden.
• Attempting to bypass, interfere with, or defeat ShareMyDocs.app security features, access controls, or mechanisms is prohibited and may result in account suspension or legal action.
• Using the Service to distribute malware, viruses, trojans, or harmful code is strictly prohibited and constitutes grounds for immediate termination.
• Reverse engineering, scraping, automated data harvesting, or unauthorized use of the Service beyond standard user interactions is not permitted.
• Reselling, sublicensing, or commercial exploitation of the Service without express written permission from ShareMyDocs.app is prohibited.
• Using the SMS features of the Service to send unsolicited messages, spam, or messages to individuals who have not provided explicit consent is strictly prohibited and may result in immediate account termination.

Prohibited Content: Illegal Materials and Adult Content

ShareMyDocs.app maintains a strict zero-tolerance policy regarding illegal materials and adult content. The Service may not be used to upload, store, transmit, share, distribute, or receive any content that falls within the categories described below. This policy exists to protect our users, maintain the integrity of our platform, comply with applicable laws, and ensure ShareMyDocs.app remains a safe and professional environment for document sharing.

Illegal Materials

You may not use ShareMyDocs.app to send, receive, upload, store, or share any materials that are illegal under federal, state, local, or international law. Prohibited illegal materials include, but are not limited to:

• Child Sexual Abuse Material (CSAM): Any visual depiction, including photographs, videos, digital images, or computer-generated images, involving minors in sexually explicit conduct. This includes any content that sexualizes minors in any way.
• Stolen or Fraudulent Documents: Forged identity documents, stolen financial records, fraudulent contracts, counterfeit credentials, or any documents obtained through theft, fraud, or deception.
• Controlled Substances: Documents facilitating the illegal sale, distribution, manufacture, or trafficking of controlled substances, narcotics, or illegal drugs.
• Weapons and Explosives: Instructions, blueprints, or materials related to the illegal manufacture, sale, or distribution of weapons, firearms, explosives, or destructive devices.
• Terrorist Content: Materials promoting, supporting, facilitating, or glorifying terrorism, terrorist organizations, or violent extremism.
• Human Trafficking: Any content facilitating human trafficking, forced labor, sexual exploitation, or modern slavery.
• Pirated or Infringing Content: Copyrighted materials distributed without authorization, including pirated software, movies, music, books, or other intellectual property.
• Hacking Tools and Exploits: Malicious software, hacking tools, exploit kits, ransomware, stolen credentials, or materials facilitating unauthorized access to computer systems.
• Financial Crimes: Documents facilitating money laundering, tax evasion, securities fraud, insider trading, or other financial crimes.
• Any Other Illegal Content: Any other materials that violate applicable federal, state, local, or international laws.

Adult Content

ShareMyDocs.app is a professional document sharing platform and is not intended for adult or sexually explicit content. You may not use the Service to send, receive, upload, store, or share adult content of any kind. Adult content includes, but is not limited to:

• Pornography: Any sexually explicit images, videos, documents, or other materials depicting sexual acts, sexual intercourse, or sexual conduct.
• Nudity: Images or videos containing full or partial nudity, including exposed genitalia, buttocks, or female breasts (excluding breastfeeding or medical/educational contexts).
• Erotic or Sexually Suggestive Content: Materials designed to sexually arouse, including erotic literature, sexually suggestive images, "boudoir" photography intended for sexual purposes, or provocative content.
• Sexual Services: Content advertising, promoting, or facilitating prostitution, escort services, sexual services, or any form of commercial sexual activity.
• Fetish Content: Materials depicting sexual fetishes, BDSM content, or other specialized sexual content regardless of whether explicit nudity is shown.
• Revenge Pornography: Intimate images or videos shared without the consent of the individuals depicted, regardless of how the content was originally obtained.
• Deepfakes and Synthetic Sexual Content: Artificially generated or manipulated images, videos, or content depicting individuals in sexual situations without their consent.
• Adult Entertainment Materials: Promotional materials, contracts, or business documents related to the adult entertainment industry, including but not limited to adult film production, adult websites, or strip clubs.

Consequences of Violation

Any use of ShareMyDocs.app to send, receive, store, or share illegal materials or adult content will result in immediate and permanent termination of access to the Service. This enforcement action applies to:

• The Violating User: The individual account holder who uploaded, shared, sent, or received the prohibited content will have their account immediately and permanently terminated without prior notice or opportunity to cure.
• Affiliated Organization Users: All users within the same organization, workspace, or business account as the violating user may have their access terminated at ShareMyDocs.app's sole discretion.
• Invited Users: Any users who were invited to the platform by the violating user, or who were granted access to content by the violating user, may have their access terminated at ShareMyDocs.app's sole discretion.
• Associated Accounts: Any accounts determined to be associated with the violating user through shared payment methods, IP addresses, devices, or other identifying information may be terminated.

No refunds will be provided for any prepaid subscription fees, credits, or other amounts paid in connection with terminated accounts. ShareMyDocs.app reserves the right to retain all fees paid by violating users as liquidated damages.

Reporting to Authorities: ShareMyDocs.app will report suspected illegal activity to appropriate law enforcement agencies, including but not limited to the National Center for Missing & Exploited Children (NCMEC), the Federal Bureau of Investigation (FBI), and other relevant authorities. We will cooperate fully with law enforcement investigations and may provide user information, content, and access logs as required by law or legal process.

Content Preservation: ShareMyDocs.app may preserve copies of prohibited content and associated metadata solely for the purpose of reporting to law enforcement and cooperating with legal investigations.

Reporting Prohibited Content

If you become aware of any illegal materials or adult content being shared through ShareMyDocs.app, please report it immediately to privacy@sharemydocs.app. Include as much detail as possible, including any sharing links, user information, or descriptions of the content. All reports will be investigated promptly and treated confidentially.

Subscriptions, Fees, and Billing

Certain features or higher tiers of service require payment of fees as outlined at the time of purchase. Subscriptions will automatically renew at the end of each billing period unless you cancel in advance.

All fees paid are non-refundable except where required by applicable law or specific refund policies communicated at the time of purchase. You are responsible for providing valid payment information and keeping it up-to-date.

Failure to pay fees may result in limitation of features, suspension, or termination of your account. It is your responsibility to ensure timely payment to avoid service disruptions.

Service Availability and Changes

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. While we strive to maintain reliable and secure infrastructure, we cannot guarantee uninterrupted or error- free operation.

We reserve the right to modify, suspend, discontinue, or remove features or the entire Service at any time without prior notice. Any such changes will be made in accordance with applicable laws and with consideration to minimize disruption.

Disclaimers and No Professional Advice

ShareMyDocs does not provide legal, medical, financial, compliance, or regulatory advice. The information and services offered are not a substitute for consulting with qualified professionals.

You are solely responsible for determining whether your use of the Service complies with applicable laws, regulations, and professional standards. We encourage you to seek appropriate advice when necessary.

Limitation of Liability

To the maximum extent permitted by law, ShareMyDocs shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of revenue, loss of profits, loss of goodwill, loss of data, or business interruption, arising out of or in connection with your use or inability to use the Service.

Our total aggregate liability arising from or related to the use of the Service shall not exceed the amount paid by you, if any, for use of the Service during the prior 12 months.

Indemnification

You agree to indemnify, defend, and hold harmless ShareMyDocs.app, its parent companies, subsidiaries, affiliates, partners, joint venturers, successors, assigns, officers, directors, shareholders, members, managers, employees, contractors, agents, representatives, licensors, service providers, suppliers, and any third parties acting on behalf of ShareMyDocs.app (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, causes of action, suits, proceedings, investigations, inquiries, damages, judgments, settlements, obligations, losses, liabilities, penalties, fines, costs, debts, and expenses of any kind whatsoever, including but not limited to:

• Reasonable attorneys' fees, legal costs, and disbursements (whether incurred at trial, on appeal, or in any arbitration, mediation, or other proceeding);
• Expert witness fees, consultant fees, and investigation costs;
• Court costs, filing fees, and administrative expenses;
• Costs of enforcement, collection, and recovery;
• Any amounts paid in settlement of claims with your prior written consent;

arising out of, resulting from, or in any way connected with:

• Your access to or use of the Service, including any User Content you upload, store, transmit, share, or make available through the Service;
• Any documents, files, data, or materials shared by you or recipients you have designated through the Service;
• Your violation or breach of these Terms, any applicable policies, or any representation or warranty contained herein;
• Your violation of any applicable federal, state, local, or international law, statute, ordinance, regulation, or rule, including but not limited to privacy laws, data protection laws, telecommunications laws, and anti-spam regulations;
• Your infringement, misappropriation, or violation of any intellectual property rights, proprietary rights, privacy rights, publicity rights, contractual rights, or other rights of any third party;
• Any claim that your User Content caused damage to a third party, including claims of defamation, libel, slander, invasion of privacy, or emotional distress;
• Any dispute or issue between you and any third party, including recipients, regarding documents shared through the Service;
• Your use of SMS messaging features, including any claims related to unsolicited messages, spam, or messages sent to incorrect phone numbers;
• The unauthorized access to or use of your account by third parties, whether or not such access was caused by your negligence;
• Any third-party claim arising from your negligence, willful misconduct, fraud, or criminal activity.

Indemnification Procedure

ShareMyDocs.app reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify the Indemnified Parties, and you agree to cooperate fully with our defense of such claims. You agree not to settle any matter subject to indemnification without the prior written consent of ShareMyDocs.app. ShareMyDocs.app will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it; however, failure to provide such notice shall not relieve you of your indemnification obligations except to the extent that such failure materially prejudices your ability to defend the claim.

Survival of Indemnification Obligations

Your indemnification obligations under this section shall survive the termination, cancellation, or expiration of your account, your use of the Service, and these Terms. This means you remain responsible for indemnifying the Indemnified Parties even after you stop using ShareMyDocs.app, for any claims arising from your prior use of the Service.

Scope of Protection

The indemnification obligations set forth in this section are intended to provide the broadest protection permitted by applicable law to ShareMyDocs.app and all Indemnified Parties. If any portion of this indemnification provision is found to be unenforceable in any jurisdiction, the remaining portions shall continue in full force and effect, and the unenforceable portion shall be modified to the minimum extent necessary to make it enforceable while preserving the parties' original intent.

Governing Law and Venue

These Terms and any disputes arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the United States and the applicable state of operation, without regard to conflict-of-law principles that might apply the laws of another jurisdiction.

You consent to the exclusive jurisdiction and venue in the federal or state courts located in the applicable state for resolution of any disputes.
